By accessing or using the VenueVault website, occasion guides, inquiry tools, or referral features provided by ALTFTool (“we,” “our,” or “us”), you confirm that you have read, understood, and agreed to be legally bound by these Terms & Conditions. If you do not agree to these terms, please discontinue using this platform immediately.

2. Independent Information & Referral Service Nature

We assist event hosts, couples, and organizations by matching their headcount, style, and date preferences with independent venues. We do not provide catering, hospitality staff, security, staging, or venue management services.

3. Direct Venue Relationships & Contracts

When you connect with an independent venue or booking representative through our platform, you explicitly understand and agree that:

• Independent Status: All venues, banquet managers, and service providers are independent third parties. They are not employees, partners, agents, or joint venturers of ALTFTool or VenueVault.
• Direct Written Agreement: Any reservation, tentative date hold, contract, security deposit, cancellation terms, insurance verification, and final payment is made strictly and directly between you and the chosen licensed venue.
• No Outcome Guarantee: We do not guarantee venue availability, final contract pricing, package terms, food service quality, or event execution outcomes.
• Smart Booking Recommended: We strongly advise all clients to tour any space in person, verify permits and insurance, and obtain all price quotes and cancellation policies in writing before signing any contract or issuing payment.

4. Pricing, Availability & Information Accuracy

Venue rental rates, catering minimums, capacities, and date availabilities change frequently based on season, day of week, and venue policy. All descriptions, capacities, and pricing guides displayed on VenueVault are general estimates intended for comparison purposes only. Nothing on this site constitutes a binding quote, reservation, or formal contract.

5. Permitted Use & User Responsibilities

You agree to use this site solely for lawful personal or business event-planning purposes. You agree not to submit deceptive or fictitious inquiries, extract or scrape directory content through automated means, or attempt to compromise site infrastructure.

6. Warranty Disclaimers & Limitation of Liability

VenueVault and ALTFTool provide this platform on an “as is” and “as available” basis without warranties of any kind, whether express or implied. To the fullest extent permissible by applicable law, ALTFTool and VenueVault disclaim liability for any direct, indirect, incidental, punitive, or consequential damages resulting from your interactions, agreements, or disputes with any third-party venue or vendor.

7. Indemnification

You agree to defend, indemnify, and hold harmless ALTFTool, VenueVault, and their officers, directors, and affiliates against any claims, losses, or legal fees arising from your breach of these Terms or your interactions with third-party venue operators.

8. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which ALTFT operates, without regard to its conflict of law principles.

9. Modifications to Terms

We reserve the right to revise these Terms & Conditions at any time. Continued use of the platform after updates are posted constitutes your acceptance of the amended terms.
